翻译服务合同范本（部分）

Translation Service Contract

为了良好的解决语言转换问题，甲方决定委托乙方提供翻译服务，为***甲乙双方的合法权益，根据《中华人民共和国合同法》，甲乙双方本着平等自愿的原则签订如下协议：

In order to solve the problem of language conversion, Party A hereby commissions Party B to provide translation service. To guarantee the legitimate rights and interests of both Parties, Party A and Party B enter into the following agreement in accordance with the Contract Law of the People’s Republic of China on the principle of equality and voluntariness.

甲方义务：

向乙方提供翻译原件，使乙方得以进行正常的翻译工作；

如有必要，提供翻译内容的相关资料（如翻译对象名单、相关的专业术语等），以便乙方工作人员能够准确、及时的完成语言翻译工作；

必要时须配合乙方对译稿内容准确度进行沟通。

Obligations of Party A

Party A shall provide Party B with the original documents for Party B to carry out the translation work.

If necessary, Party A shall provide information related to the translation (such as the list of names to be translated and related terms and jargons, etc.), so that Party B’s translators can complete the translation accurately and timely.

When necessary, Party A shall cooperate with Party B to communicate on the accuracy of the translation.

乙方义务：

根据翻译原件进行语言翻译，译文质量应符合***GB/T19363.1-2003《翻译服务规范***部分：笔译》和GB/T19682-2005《翻译服务译文质量要求》的规定。如甲方收到译稿后发现翻译有错误或遗漏的，有权要求乙方在5日内进行修正，如乙方拒绝修正，甲方有权要求退还笔译服务费用；

乙方须对翻译内容以及甲方信息进行保密，不得以任何形式透漏给他人，如有违反须承担相应的法律责任；

乙方应限度的***译文的准确性，如因译文存在错误导致甲方遭受损失，乙方需承担相应责任。

Obligations of Party B

Party B shall carry out the translation according to the original documents, and the translation quality shall meet the requirements provided in GB/T19363.1-2003 “Specification for Translation Service – Part 1: Translation” and GB/T19682-2005 “Target Text Quality Requirements for Translation Services”. If Party A finds any mistake or omission in the translation after receiving the translated documents, it shall have the right to require Party B to make corrections within 5 days. If Party B refuses to correct the translation, Party A shall have the right to demand refund for the translation service fee.

Party B shall keep the translation and Party A’s information confidential, and shall not disclose it to others in any form. In case of any violation to this clause, Party B shall bear the corresponding legal liabilities.

Party B shall guarantee the accuracy of the translation to the maximum extent. Party B shall be liable for the losses suffered by Party A due to mistakes in translation.
